MatrixDo Terms of Service

Welcome to MatrixDo (the "App"). The App is developed and provided by deepdream ("we," "us," or "our").
These Terms of Service (the "Terms") constitute an agreement between you and us regarding your downloading, installing, registering, signing in to, and using the App. Please read and fully understand all of these Terms carefully before using the App, especially the clauses that exempt or limit liability. By downloading, installing, or using the App, you acknowledge that you have read, understood, and agreed to be fully bound by these Terms. If you do not agree with any part of these Terms, please stop installing or using the App.
1. Definitions
- App / MatrixDo:The "MatrixDo" task management software developed by deepdream and distributed through channels such as the Apple App Store, and its various versions (including iPhone, iPad, and Mac versions and their desktop widgets, Live Activities, and other extension components).
- You / User: The natural person who downloads, installs, and uses the App.
- Pro Membership / Subscription Service: The paid value-added services offered within the App.
- Service: All features and content we provide to you through the App.
2. Service Content
MatrixDo is a task and time management tool based on the "four-quadrant" (Eisenhower Matrix) methodology, designed to help you prioritize and execute tasks. The main features of the App include but are not limited to:
- Task matrix management:Visual management by dividing tasks into four quadrants (green / red / yellow / blue) along the two dimensions of "productivity" and "urgency";
- Task creation and editing: Manually create, edit, archive, and delete tasks, and set estimated durations, due dates, and so on;
- Execution modes: Focus timers, sprint lists, deep-focus execution interfaces for different quadrants, with support for Lock Screen / Dynamic Island Live Activities;
- Output wall and data insights: Display completed tasks and provide analytics such as time allocation, productivity, and active days (some are Pro features);
- System integration: With your authorization, two-way sync with the system Reminders app, reading system Calendar events, and quickly creating tasks via speech recognition (some are Pro features);
- iCloud sync: After you sign in to iCloud, sync task data across your devices via Apple CloudKit;
- Personalization settings: Theme switching, default countdown settings, and so on.
We reserve the right to update, adjust, add to, or reduce the App's features from time to time based on operational needs. The version you actually use shall prevail.
3. Account and Identity
- The App does not set up a separate account registration and login system; you can use its core features without providing a username or password.
- Some features of the App rely on the Apple ID and iCloud account on your device: the iCloud sync feature requires you to sign in to iCloud; the subscription service is verified and managed through the Apple App Store and the third-party subscription provider RevenueCat.
- You should keep your device and Apple ID secure. Based on the App's "local-first" design, the security status of your device directly affects the security of your task data. Please take necessary device security measures (such as a lock-screen passcode, biometrics, etc.) on your own.
4. Subscription Service (MatrixDo Pro)
- Paid features: The App offers a Pro subscription to unlock value-added features such as data insights, calendar import, and voice creation. The specific division between free and paid features is subject to what is actually shown in the app, and we may adjust it from time to time.
- Subscription plans: The App offers plans including but not limited to: monthly subscription; annual subscription (which may include a free trial of a certain duration). The specific price, duration, and trial eligibility are subject to what is shown on the App Store page at the time you place your order.
- Payment and billing: All subscriptions are paid through the Apple App Store. After a subscription purchase is confirmed, the fee will be charged to your Apple ID.
- Auto-renewal: Subscriptions have auto-renewalenabled by default. Unless you turn off auto-renewal at least 24 hours before the end of the current subscription period, the system will automatically renew and charge upon expiration. You can view and manage your subscriptions, or turn off auto-renewal, at any time under iOS "Settings → Apple ID → Subscriptions."
- Free trial: If you participate in a free trial, any unused portion of the trial will be forfeited when you purchase a subscription (if applicable). Trial eligibility is generally limited by Apple ID (one per user).
- Refunds: Because subscriptions are handled by Apple, refund requests must be made through Apple in accordance with Apple's refund policy; we cannot process refunds for you directly.
- Restore purchases:After changing devices or reinstalling the App, you can restore your existing subscription benefits via the in-app "Restore Purchases" feature.
5. User Conduct
You undertake to comply with applicable laws and regulations when using the App, and must not:
- Use the App to engage in any illegal, infringing, or publicly immoral activities;
- Reverse engineer, decompile, or disassemble the App, or otherwise attempt to obtain its source code (except as expressly permitted by applicable law);
- Delete or modify any rights statements or marks on the App and its content;
- Rent, sell, sublicense, or commercially distribute the App without authorization;
- Use any technical means to interfere with, damage, or disrupt the normal operation or security mechanisms of the App;
- Engage in other conduct that may harm the legitimate rights and interests of us or third parties.
You are fully responsible for the task content (titles, notes, etc.) you create and store within the App, and warrant that it does not infringe any third party's rights.
6. Intellectual Property
- All intellectual property rights related to the App (including but not limited to software code, interface design, icons, text, the trademark "MatrixDo" and its marks, etc.) belong to deepdream or relevant rights holders, and are protected by applicable law.
- We grant you only a limited, non-exclusive, non-transferable, revocable license to use the App for personal purposes on Apple devices you own or control, subject to these Terms.
- Ownership of the task content you create within the App (i.e., "User Content") belongs to you. We do not claim ownership of your User Content.
7. Third-Party Services
The App integrates the following third-party services to implement specific features. Your use of the related features is also subject to the corresponding third-party terms:
- Apple iCloud / CloudKit: Used to sync task data across your devices;
- Apple App Store: Used for app distribution and subscription payment;
- RevenueCat: Used for subscription status management and receipt verification;
- Apple Speech Recognition: Used for speech-to-text task creation.
The availability and performance of the above third-party services may be affected by third parties, for which we are not responsible. For details on data processing, please see the Privacy Policy.
8. Disclaimers and Limitation of Liability
- Provided "as is":To the maximum extent permitted by applicable law, the App is provided on an "as is" and "as available" basis. We do not warrant that the App is entirely error-free or uninterrupted, or that it will fully meet your specific needs.
- Productivity tool nature: The App is an auxiliary tool; your task planning, decisions, and their consequences are your own responsibility. We are not responsible for any decisions you make based on the App.
- Data risk: Although the App uses local storage and iCloud sync, we are not responsible for data loss caused by device damage, loss, system failure, misoperation, iCloud service abnormalities, and the like. We recommend that you back up important data regularly.
- Liability cap: To the extent permitted by applicable law, regardless of the cause, our total liability to you in connection with the App shall not exceed the total amount you actually paid to us (or via Apple) for the App in the 12 months preceding the event giving rise to the liability.
- To the extent permitted by applicable law, we are not liable for indirect, incidental, punitive, special, or consequential damages (including but not limited to loss of profits or data).
9. Changes to the Agreement
We may revise these Terms from time to time in response to changes in laws and regulations or business adjustments. The revised Terms will be published within the App or through relevant channels and will take effect on the date of publication (or the date specified at publication). If you continue to use the App after the Terms are changed, you are deemed to accept the revised Terms; if you do not agree, you should stop using the App.
10. Termination of the Agreement
- You may terminate this agreement at any time by deleting the App.
- If you violate these Terms, we have the right to suspend or terminate the provision of services to you at any time.
- After this agreement is terminated, the clauses regarding intellectual property, disclaimers and limitation of liability, and dispute resolution shall continue to be effective.
11. Governing Law and Dispute Resolution
- The conclusion, validity, interpretation, and dispute resolution of this agreement are subject to the relevant laws that are binding on you.
- Any dispute arising from or in connection with this agreement should first be resolved through friendly negotiation between the parties; if negotiation fails, a lawsuit may be filed with a court of competent jurisdiction in accordance with applicable law.
- If any provision of this agreement is found to be invalid or unenforceable, it shall not affect the validity of the remaining provisions.
12. Relationship with Apple
This agreement is concluded between you and deepdream, not with Apple. Apple is not responsible for the App and its content. To the extent permitted by applicable law, Apple has no obligation whatsoever to furnish any maintenance, support, warranty, or claim-handling services in connection with the App. Apple and its subsidiaries are third-party beneficiaries of this agreement and have the right to enforce it against you.
